1. Agreement to Terms

By accessing or using the VE.KE platform ("Service") operated by Vutia Enterprises ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

VE.KE is an AI-powered software development platform that provides:

  • Automated project requirements analysis and documentation
  • Fixed-price software development quotes
  • AI-assisted software development and deployment
  • Client portal for project tracking and communication

3. Client Accounts

To use the client portal, you must provide a valid email address. We use magic link authentication — no passwords are stored. You are responsible for maintaining the security of your email account, which controls access to the portal.

4. Project Intake and Quotes

When you submit a project through our intake form:

  • Our AI analyzes your requirements and generates a fixed-price quote
  • Quotes are valid for 30 days from the date of issue
  • Project scope is defined in the Business Requirements Document (BRD), which requires your approval before development begins
  • Changes to scope after BRD approval may result in additional charges

5. Payment Terms

All payments are processed via M-Pesa STK Push:

  • Deposit: 50% of the total project cost, due before development starts
  • Final payment: Remaining 50%, due after you review and approve the staging deployment, before production deployment

All prices are in Kenyan Shillings (KES) and include applicable taxes. Payments are non-refundable once development has commenced, except as outlined in our cancellation policy.

6. Cancellation Policy

  • Before deposit payment: You may cancel at no cost
  • After deposit, before development starts: Full deposit refund
  • During development: Deposit is non-refundable; you retain rights to any completed work
  • We reserve the right to cancel a project if it violates these terms, with a prorated refund

7. Intellectual Property

Upon full payment:

  • You own the custom source code developed for your project
  • We retain ownership of our proprietary tools, frameworks, and AI systems used in development
  • Third-party libraries and frameworks are subject to their respective licenses

8. Project Delivery

We deliver projects through a structured workflow:

  • You review the project on a staging environment before production deployment
  • Issues that deviate from the approved BRD are fixed at no additional cost
  • Feature requests outside the original scope require a separate quote

9. Limitation of Liability

To the maximum extent permitted by law, Vutia Enterprises shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Service. Our total liability shall not exceed the amount paid by you for the specific project in question.

10. Governing Law

These Terms shall be governed by the laws of Kenya. Any disputes shall be resolved through arbitration in Nairobi, Kenya.

11. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms. Material changes will be communicated via email to active clients.
